Our business will reach out to business owners and offer a variety of services, predominantly the following: a) a free review of the owner's business structure to make sure it was properly formed, b) litigation representation at an extremely discounted rate (we plan to engage in direct marketing to civil litigation defendants, c) weekly "attorney letters" at no charge, d) free legal forms that are commonly used in business, and e) by far, the most important service offered is the licensed use of a copyrighted clause that is incorporated into virtually any commercial agreement (hereafter referred to as "the Clause").
The effect of the Clause is to require that parties to a contract ("Contract") notify each other, in writing, of any fact or event (referred to as "Event") that might impact the Contract. And the failure to comply with the Clause results in the non-complying party being given a significant advantage should the Contract become the subject of a lawsuit, in particular, an advantage over issues commonly referred to "he said / she said" issues. We believe that most civil litigation hinges on at least one or more of such issues, i.e., issues for which there is no concrete proof one way or the other. In such cases, the party taking advantage of the Clause will very likely prevail on all such issues -- in other words, using the Clause will likely prevent litigation from being pursued against such party, or likely result in such party prevailing in court.
